Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("User," "Creator," or "you") and Cliqmit ("we," "us," or "our"), governing your access to and use of the Cliqmit mobile application and platform (collectively, the "Platform"). By downloading, registering, or using Cliqmit, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. About Cliqmit

Cliqmit is an event technology platform that enables:

• Event Creators to publish, manage, and sell tickets to events.
• Users to discover events, purchase and resell tickets, watch event recaps, and request refunds.
• Organizers to scan and validate tickets at the venue.

Cliqmit operates as an intermediary marketplace and is not itself the organizer or promoter of any event listed on the Platform.

2. Eligibility

You must be at least 18 years old to create an account and use the Platform. By using Cliqmit, you represent and warrant that:

• You are at least 18 years of age or have obtained parental or guardian consent where required by applicable law.
• You have the legal capacity to enter into binding contracts under Nigerian law.
• All information you provide is accurate, current, and complete.
• Your use of the Platform does not violate any applicable law or regulation.

3. Account Registration

To access core features, you must register an account. You agree to:

• Provide accurate and complete registration information.
• Maintain the confidentiality of your login credentials.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activities occurring under your account.

Cliqmit reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Creator Accounts and Event Publishing

4.1 Creator Eligibility

Any registered user may apply to become a Creator on Cliqmit. Creators must provide accurate information about their events and comply with all applicable Nigerian laws, including the Cybercrime (Prohibition, Prevention, Etc.) Act 2015 and relevant consumer protection laws.

4.2 Event Listings

When publishing an event, Creators agree to:

• Provide accurate event details, including date, time, venue, ticket types, and pricing.
• Only publish events that they are legally authorized to promote or organize.
• Comply with all venue licensing, safety, and regulatory requirements.
• Do not list events that are illegal, fraudulent, or otherwise prohibited.
• Clearly disclose their refund policy before tickets go on sale.
• Promptly update or cancel listings if material event details change.

4.3 Ticket Pricing and Fees

Creators set their own ticket prices. Cliqmit charges a platform service fee on each transaction, which is deducted from the Creator's earnings. The applicable fee structure is communicated to Creators in their dashboard and may be updated from time to time with prior notice.

4.4 Creator Earnings and Payouts

Creators earn the face value of tickets sold, minus Cliqmit's platform fees and applicable payment processing charges. Payouts are processed to the Creator's registered Nigerian bank account or approved payment method in accordance with Cliqmit's payout schedule. Cliqmit reserves the right to withhold or delay payouts in cases of suspected fraud, chargebacks, or disputes pending resolution.

4.5 Event Cancellation by Creator

If a Creator cancels or postpones an event, they must notify Cliqmit immediately. Where an event is cancelled, attendees who purchased tickets are entitled to a full refund. Cliqmit may recover any earnings already disbursed to the Creator to fund such refunds.

5. Ticket Purchase and Buyer Terms

5.1 Purchasing Tickets

When you purchase a ticket on Cliqmit, you enter into a contract directly with the Creator. Cliqmit facilitates the transaction but is not a party to that contract. You agree to:

• Only purchase tickets for lawful purposes.
• Provide accurate payment information.
• Review the Creator's refund policy before completing your purchase.
• Comply with any age restrictions or entry conditions set by the Creator.

5.2 Ticket Validity

Each ticket issued via Cliqmit contains a unique QR code or digital identifier. Tickets are non-transferable except through the Platform's official resale feature. Cliqmit is not liable for tickets purchased outside the Platform that are found to be invalid or counterfeit.

5.3 Prohibited Conduct

Users must not:

• Reproduce, duplicate, or counterfeit tickets.
• Resell tickets outside of Cliqmit's authorized resale mechanism.
• Use automated systems (bots) to bulk-purchase tickets.
• Use another person's account to purchase tickets without authorization.

6. Ticket Resale

Cliqmit provides an in-app secondary marketplace for ticket resale. The following rules apply:

• Only tickets originally purchased through Cliqmit may be listed for resale via the Platform.
• Resale prices may be subject to caps set by Creators or Cliqmit policy.
• Cliqmit charges a resale transaction fee, which is disclosed at the time of listing.
• Cliqmit does not guarantee the availability of resale tickets or the completion of any resale transaction.
• Resale ticket buyers are subject to the same ticket validity conditions as original purchasers.

Cliqmit reserves the right to remove resale listings that violate these Terms or applicable law.

7. Refund Policy

7.1 Creator-Defined Refund Policies

Each Creator sets their own refund policy, which must be clearly displayed on their event listing page prior to ticket purchase. By purchasing a ticket, you acknowledge and accept the Creator's stated refund policy.

7.2 Refund Requests

Refund requests must be submitted through the Cliqmit app in accordance with the applicable Creator's policy. Cliqmit will process approved refunds to the original payment method within a reasonable timeframe, typically 7 to 14 business days, subject to the payment processor's timelines.

7.3 Cliqmit's Mandatory Refund Obligations

Notwithstanding a Creator's policy, Cliqmit will facilitate a full refund to ticket buyers in the following circumstances:

• The event is cancelled by the Creator and not rescheduled within a reasonable period.
• A ticket purchased through the Platform is found to be invalid due to a system error attributable to Cliqmit.
• A fraudulent transaction is confirmed on your account.

7.4 Platform Service Fees

Platform service fees charged by Cliqmit are generally non-refundable unless the refund is necessitated by a Cliqmit error or the event is cancelled by the Creator.

8. Ticket Scanning and Verification

Creators and their authorized staff may use Cliqmit's built-in ticket scanning feature to verify tickets at the event entrance. By using the scanning feature, Creators agree to:

• Only scan tickets for events they are authorized to manage.
• Do not share scanning access credentials with unauthorized individuals.
• Accept that Cliqmit's scanning records are the authoritative source of ticket validity.

Attendees acknowledge that tickets may be subject to verification upon entry and that Cliqmit's system determines validity.

9. Event Recaps and Content

Cliqmit may offer video recaps or recorded content from events (Recap Content). By accessing Recap Content, you agree that:

• Recap Content is made available for personal, non-commercial viewing only.
• You will not redistribute or resell Recap Content without written authorization from Cliqmit and the relevant Creator.
• Creators grant Cliqmit a licence to host, display, and stream Recap Content on the Platform.

Creators retain ownership of their event content but grant Cliqmit a non-exclusive, royalty-free licence to use, reproduce, and display such content in connection with operating and marketing the Platform.

10. Payments and Financial Terms

Cliqmit integrates with third-party payment processors compliant with Nigerian payment regulations, including those licensed by the Central Bank of Nigeria (CBN). By transacting on the Platform, you:

• Authorize Cliqmit to process payments on your behalf through integrated payment gateways.
• Agree to the terms and conditions of the applicable third-party payment processor.
• Acknowledge that Cliqmit does not store full payment card details on its servers.

All transactions are denominated in Nigerian Naira (NGN) unless otherwise specified. Cliqmit is not responsible for exchange rate fluctuations or charges applied by your bank or payment provider.

11. Prohibited Activities

You must not use the Platform to:

• Publish, promote, or facilitate illegal events or activities.
• Engage in fraud, deception, or misrepresentation.
• Harass, abuse, threaten, or harm other users.
• Violate the intellectual property rights of Cliqmit or third parties.
• Upload malware, viruses, or any harmful code.
• Circumvent, disable, or interfere with security features of the Platform.
• Collect or harvest personal data of other users without consent.
• Use the Platform in any manner that violates Nigerian law, including the Cybercrime Act 2015.

12. Intellectual Property

All content, trademarks, logos, software, and materials on the Cliqmit Platform are the exclusive property of Cliqmit or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purposes. You must not reproduce, modify, distribute, or create derivative works from Cliqmit's intellectual property without our written consent.

User-generated content (such as event listings and images submitted by Creators) remains the property of the Creator, but you grant Cliqmit a worldwide, royalty-free licence to use such content in connection with operating the Platform.

13. Limitation of Liability

To the maximum extent permitted by applicable Nigerian law:

• Cliqmit is a marketplace platform and is not liable for the acts or omissions of Creators or third parties.
• Cliqmit's total aggregate liability to you for any claim shall not exceed the total amount you paid to Cliqmit in the three (3) months preceding the claim.
• Cliqmit is not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits or data.

Nothing in these Terms excludes or limits liability for death or personal injury caused by Cliqmit's negligence, fraud, or any liability that cannot be excluded under Nigerian law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Cliqmit, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any content you post or submit on the Platform.

15. Termination

Cliqmit reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, Cliqmit, or third parties. You may terminate your account at any time through the app settings. Upon termination, your right to use the Platform ceases immediately. Clauses that by their nature should survive termination shall survive, including Intellectual Property, Limitation of Liability, and Governing Law.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004). Each party shall bear its own costs unless the arbitrator directs otherwise.

17. Amendments

Cliqmit may update these Terms from time to time. We will notify registered users of material changes via email or in-app notification. Your continued use of the Platform after such notification constitutes acceptance of the updated Terms.
